End User License Agreement

Subject to your compliance with this Agreement and payment of any applicable license fee, Licensor grants you a non-exclusive, non-transferable, revocable license to install and use the Software for your personal or commercial audio production purposes.

The Software requires online activation. Each purchased license entitles you to activate the Software on up to the number of devices specified at the time of purchase (the "Activation Limit"). You may deactivate a device through the in-plugin license panel to free a slot for use on another device.

You retain full ownership of all audio recordings, mixes, and other creative works produced using the Software. No additional license or royalty is required for the commercial or non-commercial distribution of works that incorporate audio processed by the Software.

You may not:

• (a) copy, redistribute, sublicense, rent, lease, lend, sell, or otherwise transfer the Software or any license key, activation token, or session credential to any third party;
• (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such activity is expressly permitted by applicable law notwithstanding this restriction;
• (c) modify, adapt, translate, or create derivative works of the Software;
• (d) remove, alter, or obscure any copyright, trademark, or other proprietary notices in or on the Software;
• (e) circumvent, disable, or interfere with the Software's licensing, activation, or copy-protection mechanisms;
• (f) use the Software in violation of any applicable law or regulation.

The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set forth in this Agreement.

Licensor may from time to time provide updates, bug fixes, or new versions of the Software. Such updates are subject to this Agreement unless accompanied by a separate license, in which case the separate license controls.

License activation and validation require the Software to transmit limited license- and device-related data to Licensor's servers. The Software does not collect, transmit, or access your audio, project files, or other personal content. All data practices are described in the Xodus Labs Privacy Policy, available at https://xoduslabs.xyz/privacy, which is incorporated into this Agreement by reference.

This Agreement is effective until terminated. It will terminate automatically without notice if you fail to comply with any term. Upon termination you must cease all use of the Software and destroy all copies in your possession. Sections 3 through 13 survive termination.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SOFTWARE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE GIVING RISE TO THE CLAIM.

The Software incorporates third-party open-source components, each of which is governed by its own license. A list of such components and their licenses is available on request and is reproduced in the Software's documentation.

The Software is distributed in the VST3 and CLAP plug-in formats. "VST" is a trademark of Steinberg Media Technologies GmbH; the Software is distributed under the Steinberg VST 3 SDK 3rd Party Developer License Agreement. "CLAP" and the CLAP format are made available under their respective permissive open-source license.

This Agreement is governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in North Carolina, and you consent to the jurisdiction of those courts.

This Agreement constitutes the entire agreement between you and Licensor concerning the Software and supersedes all prior or contemporaneous understandings.
